1. Acceptance of Terms

By accessing, browsing, or using Expense Atlas ("Service," "Platform," or "we/us/our"), you ("User," "you," or "your") acknowledge that you have read, understood, and agree to be bound by these Terms of Service ("Terms") and our Privacy Policy.

If you do not agree to these Terms, you must not access or use the Service. Your continued use of the Service after any modifications to these Terms constitutes your acceptance of such modifications.

You must be at least 18 years of age or the age of legal majority in your jurisdiction to use this Service. By using the Service, you represent and warrant that you meet this age requirement.

If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

2. Definitions

For purposes of these Terms, the following definitions apply:

  • "Account" means your registered user account on the Platform, including all associated data, preferences, and subscription information.
  • "Add-on" means an optional, purchasable increase to your monthly processing limits beyond those included in your Subscription Plan.
  • "Billing Cycle" means the recurring monthly period during which your Subscription Plan is active, beginning on your original subscription start date and renewing monthly thereafter.
  • "Boost" or "Usage Boost" means the additional processing capacity granted to your Account after purchasing an Add-on.
  • "Capacity" means the numerical limit of specific operations (receipts, statements, normalizations, AI analyses, or chat queries) you may perform within a Billing Cycle.
  • "Content" means any data, text, images, receipts, financial statements, or other materials you upload, submit, or transmit through the Service.
  • "Payment Method" means the credit card, debit card, PayPal account, or other payment instrument you have authorized for subscription billing.
  • "Pending Charges" means the accumulated total of all Add-on purchases made during the current Billing Cycle that have not yet been billed to your Payment Method.
  • "Renewal Date" means the date on which your current Billing Cycle ends and a new Billing Cycle begins, at which point your subscription fee (and any Pending Charges) are billed.
  • "Service" means the Expense Atlas platform, including all features, functionality, websites, and mobile applications.
  • "Subscription Plan" means your selected service tier (e.g., Free, Starter, Family) which determines your base monthly processing limits and subscription fee.

3. Use License

3.1 Grant of License

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal, non-commercial use.

3.2 License Restrictions

You may not:

  • Modify, copy, or create derivative works based on the Service
  • Reverse engineer, disassemble, or decompile any part of the Service
  • Remove any copyright or proprietary notices from the Service
  • Transfer, sublicense, or assign your rights under these Terms
  • Use the Service for any commercial purpose without our written consent
  • Access the Service through automated means (bots, scrapers, etc.)

3.3 Termination of License

This license shall automatically terminate if you violate any of these restrictions and may be terminated by us at any time. Upon termination, you must destroy any downloaded materials in your possession.

4. User Accounts and Registration

4.1 Account Creation

To access certain features of the Service, you must create an Account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete.

4.2 Account Security

You are responsible for maintaining the confidentiality of your Account credentials and for all activities that occur under your Account. You agree to immediately notify us of any unauthorized use of your Account or any other breach of security.

4.3 Account Suspension

We reserve the right to suspend or terminate your Account at any time for any reason, including but not limited to violation of these Terms, suspected fraudulent activity, or extended periods of inactivity.

4.4 One Account Per Person

Each individual may maintain only one Account. Creating multiple Accounts to circumvent usage limits or other restrictions is prohibited and may result in termination of all associated Accounts.

5. Subscription Plans

5.1 Available Plans

Expense Atlas offers multiple subscription tiers with varying features and usage limits. Current plans include:

  • Free Tier: Limited functionality for basic expense tracking
  • Starter ($2.99/month): 100 receipts, 5 statements per month
  • Family ($6.99/month): 300 receipts, 15 statements per month, priority support

5.2 Plan Features

Specific features, limits, and pricing for each plan are detailed on our Pricing page and may be updated from time to time. Your subscription tier determines your monthly limits for receipts, statements, normalizations, and other features.

5.3 Plan Changes

You may upgrade or downgrade your Subscription Plan at any time. Upgrades take effect immediately, and you will be charged the prorated difference for the remainder of your current Billing Cycle. Downgrades take effect at the start of your next Billing Cycle.

5.4 Free Trial

We may offer free trials of paid Subscription Plans. At the end of any free trial, your subscription will automatically convert to a paid subscription unless you cancel before the trial ends.

6. Payment Terms

6.1 Billing

Subscription fees are billed monthly in advance on your Renewal Date. By subscribing to a paid plan, you authorize us to charge your Payment Method on a recurring basis until you cancel your subscription.

6.2 Payment Processing

Payments are processed through PayPal. By providing your payment information, you authorize PayPal to store and process your payment credentials in accordance with their terms of service and privacy policy.

6.3 Taxes

All prices are exclusive of applicable taxes unless otherwise stated. You are responsible for paying all taxes associated with your subscription.

6.4 Failed Payments

If your Payment Method fails, we will attempt to charge it up to 3 additional times over a 7-day period. If all attempts fail, your subscription may be suspended until payment is received.

6.5 Refund Policy

All fees are non-refundable except as required by applicable law. We do not provide refunds for partial months, unused features, or downgraded subscriptions.

6.6 Price Changes

We reserve the right to change our prices at any time. Price changes will be communicated to you at least 30 days in advance and will take effect at the start of your next Billing Cycle following the notice period.

7. Usage Limits

7.1 Monthly Limits

Each Subscription Plan includes specific monthly usage limits for various features. These limits reset at the beginning of each Billing Cycle.

7.2 Exceeding Limits

If you reach your monthly limit for any feature, you may:

  • Wait until your next Billing Cycle when limits reset
  • Upgrade to a higher Subscription Plan with higher limits
  • Purchase Add-ons to temporarily increase your limits

7.3 Limit Monitoring

You can monitor your current usage and remaining limits in your Account dashboard. We may also notify you when you are approaching or have reached your limits.

7.4 Fair Use

We reserve the right to impose additional limits or restrictions on Accounts that exhibit unusual or excessive usage patterns that may impact Service performance for other users.

8. Add-on Purchases

Add-on Terms of Service

These Add-on Terms supplement and form part of the Expense Atlas Terms of Service. In the event of a conflict between these Add-on Terms and the general Terms of Service, these Add-on Terms shall control with respect to Add-on purchases.

8.1 Overview

Expense Atlas offers optional Add-ons that allow you to increase your monthly processing Capacity beyond your Subscription Plan's included allowances. Add-ons are available for:

  • Receipt processing capacity
  • Statement import capacity
  • Merchant normalization capacity
  • AI Budget Analysis sessions
  • AI Chat queries

8.2 Pricing and Billing

8.2.1 Deferred Billing Model

Add-on purchases are processed using a deferred billing model:

  • Immediate Capacity: When you purchase an Add-on, you receive immediate access to the additional Capacity.
  • Deferred Charge: The Add-on charge is NOT billed immediately. Instead, it is added to your Pending Charges and collected on your next Renewal Date as a single consolidated charge.
  • Single Transaction: This approach results in one monthly charge (subscription fee + Pending Charges) rather than multiple small transactions.

8.2.2 Current Pricing

8.3 Capacity Activation and Expiration

8.3.1 When Capacity Becomes Active

Add-on Capacity becomes active immediately upon purchase. You may begin using your additional Capacity as soon as your purchase is confirmed, even though payment has not yet been collected.

8.3.2 Expiration Timeline

Add-on Capacity (Boosts) expires 90 days after your next successful Renewal Date payment.

Example: If you purchase an Add-on on January 15th and your Renewal Date is February 1st, your Boost will expire on May 2nd (90 days after February 1st).

8.3.3 Expiration Rationale

This expiration policy exists because:

  • AI and processing costs fluctuate over time
  • It allows us to maintain affordable Add-on pricing
  • It prevents indefinite accumulation of unused Capacity

8.3.4 Expiration Notifications

You will receive email notification 7 days before any Boost expires. Unused Capacity cannot be extended, transferred, or refunded.

8.4 Non-Refundable Commitment

IMPORTANT — PLEASE READ CAREFULLY:

8.4.1 Binding Commitment

By purchasing an Add-on, you are making a binding, non-refundable commitment to pay for that Add-on on your next Renewal Date.

8.4.2 No Refunds

Add-on charges are non-refundable once purchased, even if:

  • You do not use the full Capacity before expiration
  • You cancel your subscription before the next Renewal Date
  • You downgrade to a lower Subscription Plan
  • Your Payment Method fails and access is paused

8.4.3 Cancellation with Pending Charges

If you cancel your subscription with Pending Charges:

  • Your Pending Charges will be collected on your originally scheduled Renewal Date
  • If your stored Payment Method cannot be charged, you remain responsible for the balance
  • Unpaid balances may affect your ability to create a new Account and may be sent to collections

8.5 Failed Payments and Payment Retries

8.5.1 Payment Retry Schedule

If your Payment Method fails on your Renewal Date:

  • We will attempt to charge your Payment Method up to 3 additional timesover a 7-day period
  • You will receive email notification of each failed attempt
  • You may update your Payment Method at any time during this period

8.5.2 Access During Failed Payment Period

During the payment retry period:

  • Your existing subscription access continues
  • Your Add-on Capacity (Boosts) remains available
  • New Add-on purchases are disabled

8.5.3 Consequences of Continued Payment Failure

If all payment attempts fail after the 7-day retry period:

  • Your subscription will be suspended
  • Your Add-on Capacity will be paused (not forfeited)
  • Your Pending Charges remain due and payable
  • Access will be restored upon successful payment of all amounts owed

8.5.4 Responsibility for Payment

You are responsible for ensuring your Payment Method remains valid and has sufficient funds. We are not responsible for any service interruption caused by payment failure.

8.6 Payment Authorization

8.6.1 Authorization Granted

By purchasing an Add-on, you authorize Expense Atlas to:

  • Store your Payment Method on file (securely via PayPal Vault)
  • Charge the accumulated Pending Charges on your next Renewal Date
  • Charge any Pending Charges if you cancel your subscription
  • Retry failed payments as described in Section 8.5

8.6.2 Payment Security

Your payment information is stored securely using PayPal's PCI-DSS compliant vault system. We never store your actual credit card numbers on our servers. Only a secure token is retained to process authorized charges.

8.7 Consent Requirement

Before completing any Add-on purchase, you must:

  1. Review the Add-on terms displayed at the time of purchase
  2. Acknowledge the Pending Charges amount that will be added to your next Billing Cycle
  3. Check the consent checkbox confirming you understand and agree that:
    • The Add-on is non-refundable
    • The charge will be added to your next Renewal Date
    • You authorize future payment collection as described herein
    • These terms are binding even if you cancel your subscription

Purchases cannot be completed without this explicit consent.

8.8 Visibility of Pending Charges

You can view your Pending Charges at any time:

  • On the Add-ons page in your Account
  • In your Account settings under "Billing"
  • In the email confirmation sent after each Add-on purchase

Your Pending Charges balance will be clearly displayed:

  • Before each new Add-on purchase
  • On your Account dashboard
  • In pre-renewal reminder emails

8.9 Cancellation and Pending Charges

8.9.1 Cancellation with No Pending Charges

If you cancel your subscription with $0.00 in Pending Charges, your subscription will end at the conclusion of your current Billing Cycle with no further charges.

8.9.2 Cancellation with Pending Charges

If you cancel your subscription with Pending Charges greater than $0.00:

  • You will be clearly notified of the Pending Charges balance during the cancellation process
  • The Pending Charges will be collected on your originally scheduled Renewal Date
  • Your subscription will then terminate after this final charge
  • No additional subscription fees will be charged after the final payment

8.9.3 Continued Access After Cancellation

You may continue to use your purchased Add-on Capacity until the subscription termination date. Unused Capacity is forfeited upon termination.

8.10 Disputes and Chargebacks

8.10.1 Dispute Resolution

If you believe you were charged in error, please contact us within 14 days of the charge. We will investigate and respond within 5 business days.

8.10.2 Chargeback Consequences

Initiating a chargeback or payment dispute for a valid Add-on purchase (one you authorized as described herein):

  • May result in immediate suspension of your Account
  • Does not eliminate your obligation to pay for purchased Add-ons
  • May result in the outstanding balance being sent to collections
  • May result in your Account being permanently closed

We reserve the right to dispute any chargeback we believe to be invalid.

8.11 Changes to Add-on Terms

8.11.1 Notice of Changes

We may modify Add-on pricing and terms with 30 days advance notice.

8.11.2 How You Will Be Notified

Changes will be communicated via:

  • Email to your registered email address
  • Notice posted in your Account dashboard
  • Updated terms posted on our website with revision date

8.11.3 Grandfathering

Price changes will not apply to Add-ons already purchased. If you have Pending Charges at the time of a price change, those charges will be billed at the original purchase price.

8.11.4 Continued Use

Your continued use of Add-on services after the effective date of any changes constitutes acceptance of the modified terms.

9. Data and Privacy

9.1 Data Collection

We collect and process personal data as described in our Privacy Policy. By using the Service, you consent to such collection and processing and warrant that all data you provide is accurate.

9.2 Your Content

You retain ownership of any Content you upload to the Service. By uploading Content, you grant us a non-exclusive, worldwide, royalty-free license to use, store, and process such Content solely for the purpose of providing the Service to you.

9.3 Data Security

We employ industry-standard security measures to protect your data, including encryption at rest (AES-256) and in transit (TLS 1.3). However, no method of transmission or storage is 100% secure, and we cannot guarantee absolute security.

9.4 Data Retention

We retain your data for as long as your Account is active or as needed to provide you with the Service. Upon Account deletion, we will delete or anonymize your data within 30 days, except as required by law.

9.5 Third-Party Services

The Service may integrate with third-party services (e.g., email providers, payment processors). Your use of such integrations is subject to the third party's terms and privacy policy.

10. Intellectual Property

10.1 Our Intellectual Property

The Service, including its original content, features, and functionality, is and will remain the exclusive property of Expense Atlas and its licensors. The Service is protected by copyright, trademark, and other laws.

10.2 Trademarks

"Expense Atlas" and our logos are trademarks of Expense Atlas. You may not use these trademarks without our prior written consent.

10.3 Feedback

Any feedback, suggestions, or ideas you provide regarding the Service become our property, and we may use them without compensation or attribution to you.

11. Prohibited Uses

You agree not to use the Service to:

  • Violate any applicable laws or regulations
  • Infringe on the rights of others, including intellectual property rights
  • Transmit any malicious code, viruses, or harmful content
  • Attempt to gain unauthorized access to any part of the Service
  • Interfere with or disrupt the Service or servers
  • Use the Service for any fraudulent or deceptive purposes
  • Collect or harvest user data without authorization
  • Upload false, misleading, or fraudulent financial information
  • Use the Service to launder money or facilitate illegal transactions
  • Circumvent any access or usage restrictions

Violation of these prohibitions may result in immediate Account termination without refund.

12. Termination

12.1 Termination by You

You may terminate your Account at any time through your Account settings. Upon termination, you will remain responsible for any outstanding Pending Charges as described in Section 8.9.

12.2 Termination by Us

We may terminate or suspend your Account immediately, without prior notice, for any reason, including but not limited to breach of these Terms. Upon termination, your right to use the Service will immediately cease.

12.3 Effect of Termination

Upon termination:

  • Your access to the Service will be immediately revoked
  • Any outstanding Pending Charges will be collected
  • Your data will be retained for 30 days, then deleted
  • You may request a data export before termination

12.4 Survival

Sections relating to intellectual property, disclaimers, limitations of liability, indemnification, and governing law shall survive termination.

13. Disclaimers

13.1 "As Is" Basis

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT ANY WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

13.2 No Financial Advice

The Service is a tool for expense tracking and financial organization. Nothing in the Service constitutes financial, tax, legal, or investment advice. You should consult with qualified professionals for such advice.

13.3 Accuracy

While we strive for accuracy, we do not warrant that the AI-powered features (receipt parsing, categorization, budget analysis) will be error-free. You are responsible for reviewing and verifying all processed data.

13.4 Availability

We do not guarantee that the Service will be available at all times. We may experience downtime for maintenance, updates, or unforeseen circumstances.

14. Limitation of Liability

14.1 Limitation

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL EXPENSE ATLAS, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

  • Your access to or use of or inability to access or use the Service
  • Any conduct or content of any third party on the Service
  • Any content obtained from the Service
  • Unauthorized access, use, or alteration of your transmissions or content

14.2 Cap on Liability

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATING TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

14.3 Exceptions

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability shall be limited to the maximum extent permitted by law.

15. Indemnification

You agree to defend, indemnify, and hold harmless Expense Atlas and its licensees, licensors, employees, contractors, agents, officers, and directors from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to attorney's fees) arising from:

  • Your use of and access to the Service
  • Your violation of any term of these Terms
  • Your violation of any third-party right, including any intellectual property or privacy right
  • Any claim that your Content caused damage to a third party

16. Governing Law and Dispute Resolution

16.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

16.2 Dispute Resolution

Any dispute arising out of or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, the dispute shall be submitted to binding arbitration in accordance with the rules of the American Arbitration Association.

16.3 Class Action Waiver

You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.

16.4 Time Limitation

Any claim or cause of action arising out of or relating to these Terms or the Service must be filed within one (1) year after such claim or cause of action arose, or be forever barred.

17. Changes to Terms

17.1 Right to Modify

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on the Service and updating the "Last Updated" date.

17.2 Notice of Changes

For material changes, we will also:

  • Send an email notification to your registered email address
  • Display a prominent notice in your Account dashboard
  • Provide at least 30 days notice before changes take effect

17.3 Acceptance of Changes

Your continued use of the Service after any changes to these Terms constitutes your acceptance of the revised Terms. If you do not agree to the new Terms, you must stop using the Service.
